Terms of Service.
These Terms of Service ("T&Cs") govern the relationship between Philipp Schuler, operating as a sole proprietorship in Affoltern, Switzerland ("Provider"), and the commercial entity utilizing the visual auditing software ("Client").
Scope and Applicability
These Terms of Service ("T&Cs") govern the relationship between Philipp Schuler, operating as a sole proprietorship in Affoltern, Switzerland ("Provider"), and the commercial entity utilizing the visual auditing software ("Client"). The services are strictly Business-to-Business (B2B). By registering an account, the user warrants they possess the legal authority to bind the Client to these T&Cs.
Service Provision
The Provider offers a visual auditing tool powered by Artificial Intelligence (AI) designed to assist property managers in detecting inventory discrepancies. The software infrastructure is hosted locally on proprietary hardware. The services are provided on a "best-effort" and "as-is" basis. The Provider makes no binding Service Level Agreements (SLAs) regarding guaranteed uptime levels.
Service Description
Limitation of Liability
Pursuant to Art. 100 of the Swiss Code of Obligations (CO), the Provider excludes all liability for minor negligence. Furthermore, the Provider entirely disclaims liability for any indirect or consequential damages, including but not limited to loss of profit, business interruption, or loss of reputation.
- Hardware and Force Majeure: The Provider is not liable for data loss or service interruption caused by local infrastructure failures in Affoltern, hardware degradation, or other force majeure events.
- AI Probabilities: AI analyses are probabilistic "automated suggestions." The Provider disclaims all warranties regarding the factual accuracy of AI descriptions.
The software is an administrative aid, not a final adjudicator. The Client assumes full professional responsibility for verifying any AI-flagged incidents. The final determination regarding missing inventory, damages, or financial claims against third parties must be made by a human employee of the Client.

Payments
All subscription fees and usage charges are processed via Stripe. AuditStay employs a no-refund policy.
Subscription Lifecycles:
- Upgrades: Plan upgrades take effect immediately. The price difference for the remaining billing period is calculated and charged upon confirmation (Proration).
- Cancellations: Cancellations take effect at the end of the current billing cycle. You retain full access to your tier's features until the period expires. No partial refunds are issued.
- One-time Credits: Purchase of Micro or Bulk credits are non-refundable and never expire.
This agreement shall be governed exclusively by substantive Swiss law. The exclusive place of jurisdiction for all disputes arising from or in connection with these T&Cs is Zurich, Switzerland.

Fair Use Policy
The designated photo capacity for each tier covers the normal expected volume of images. Hard limits are strictly enforced (1,000 / 20,000 / 100,000 photos).
Downgrade & Purge Policy: In the event of a plan downgrade to a tier with lower storage limits, the system will automatically and permanently delete the oldest stored images exceeding the new tier's capacity at the end of the current billing cycle. This process is irreversible.
